Timothy R. Chrisman Chairman
Timothy R. Chrisman is the founding principal of Chrisman & Company, Inc., a Los Angeles-based retained executive search firm, focusing on financial and related industries. His executive search experience ranges from senior to executive management positions to corporate board appointments for a portfolio of prominent nationwide clients.
At Chrisman, he has been instrumental in providing professionals and board members to commercial banks, savings & loans companies, equity sponsor/venture capital firms, investment banks, investment management firms, leasing companies, mortgage companies, real estate investment trusts, trust companies, insurance, among others within the financial sector.
Mr. Chrisman is Chairman of First PacTrust Bancorp the holding company for Pacific Trust Bank; an $862 million federally chartered stock savings bank, with nine office locations in the greater metropolitan areas of San Diego and Riverside counties, California. He previously served as Director of Commercial Capital Bank and Commercial Capital Bancorp of Irvine, California until March 2005, the $5 billion, publicly traded institution that acquired Hawthorne Savings where he was Chairman of the Board from 1995 to 2004. Additionally, he is the Chairman of the Federal Home Loan Bank (FHLB) of San Francisco (from 2005 to present) and was the former Chairman of the Council of Federal Home Loan Banks, the system’s 12-bank trade organization. He also serves as a Senior Advisor to the investment banking firm, FIG Partners LLC.
As a recognized leader in the community, Mr. Chrisman serves as a National Director and Vice Chairman of Operation HOPE, Inc., a nonprofit social investment bank and a national provider of financial literacy and economic empowerment programs. Prior to forming his own company, Mr. Chrisman was a senior executive with a $2 billion financial institution in California’s Central Valley, for a period of ten years, where he focused on retail delivery, marketing, human resources and general management.
Mr. Chrisman served as a US Marine Corps Sergeant in Vietnam from 1966 to 1968, where he was wounded in action and decorated with the Purple Heart and Bronze Star. Immediately following his duty in Vietnam, he completed his Bachelor of Science and Master of Business Administration degrees from California State University, Fresno. He resides with his wife, Karen, in Los Angeles and has two grown daughters and four grandchildren.
Chad T. Brownstein Director
Chad T. Brownstein joined the First PacTrust Bancorp, Inc. board of directors in May 2011. Mr. Brownstein is a Senior Advisor to Crescent Capital Group (formerly Trust Company of the West Leveraged Finance Group). Previously, he was a Senior Advisor at Knowledge Universe Ltd., where he focused on turnaround operations and private equity investing. Prior to that, he was a Partner at ITU Ventures making venture and growth investments with a specialization in corporate strategy. Earlier in his career, Mr. Brownstein worked at Donaldson Lufkin & Jenrette in the Merchant and Investment Banking divisions. Mr. Brownstein is a director and vice-chairman of Prospect Global Resources Inc. (NASDAQ: PGRX).
Mr. Brownstein also is a member of the Cedars Sinai Board of Governors and serves on the board of Los Angeles Conservation Corps. Mr. Brownstein’s experience in overseeing large-scale corporate restructuring efforts and executing transformational business plans are of great benefit to the Board as First PacTrust executes its dual strategies of organic growth and M&A.
Mr. Brownstein was recommended to serve on First PacTrust’s Board by Company shareholder TCW Shared Opportunity Fund V, L.P., with which Mr. Brownstein advises. Mr. Brownstein attended the Columbia Business School and received his B.A. from Tulane University.
Robb Evans Director
Robb Evans has been Chief Executive Officer of three California banks, three Federal Reserve chartered international banks and a Hong Kong Merchant Bank. He has held banking positions ranging from teller trainee to Chairman of the Board. Today, Evans and his organization, Robb Evans & Associates LLC, serve as fiduciaries or advisors in a number of complex corporate and financial matters. In most engagements, he serves as an officer of a State or Federal Court, usually on the nomination of the Securities and Exchange Commission, The Federal Trade Commission, the Department of Justice or the Commodities Futures Trading Commission. He has served as a California Special Deputy Superintendent of Banks and, on two occasions, as a Special Deputy Commissioner of Financial Institutions. He has testified before committees of both Houses of Congress on international fraud and money laundering issues.
He and his colleagues are best known for managing the wind up of the infamous Bank of Credit and Commerce International (BCCI) in various jurisdictions in the United States. BCCI was, at the time, the largest financial fraud and asset forfeiture in history. Mr. Evans served as Trustee for the United States in that matter.
Mr. Evans is Past President of California Bankers Association. He is a founding director of Beach Business Bank in Manhattan Beach, California and is a director of First PacTrust Bancorp, Inc., a multibank holding company. He was named California’s 2012 “Distinguished Banker of the Year”.
Jeffrey Karish Director
Jeffrey Karish is President of Windsor Media LLC, a private company engaged in three principal lines of business: 1) A Private Equity Fund, making investments focused on media platforms, scalable service offerings, and luxury retail brands -- investments range from $1,000,000 - $20,000,000 -- examples include Square Inc., Jagex, SnagFilms, Meredian Technologies, Vice, OpenSky, Virgin Pure Water Systems, Connectivity Systems; 2) A Venture Capital Fund, making investments in innovative technology platforms, early stage media companies, and highly scalable new business concepts -- investments range from $150,000 to $500,000 in seed capital, angel rounds, and early stage; examples include Scopely (mobile gaming), OpenBucks, Bomoda, TasteMade, Zuckerberg Media, and Bon Faire; 3) Fixed income management: -- managing a complex portfolio of fixed income assets in Corporate Bonds, Municipal Bonds, High Grade Equities, and Special Situations.
Previously Mr. Karish was Head of Media Strategy and Corporate Development at Yahoo. Before Yahoo, he was a management consultant at McKinsey & Company, and a key member of McKinsey’s West Coast Media and Technology practice. Mr. Karish also worked as an attorney in project finance, and M&A at Linklater’s in Hong Kong and Milbank in New York.
Mr. Karish holds a JD from Harvard University, Masters of Philosophy in International Economics from Cambridge University, and A.B. in History from U.C. Berkeley.
Alvin L. Majors Director
Alvin L. Majors is the Chairman of the Board for First PacTrust Bancorp, Inc. He is also Chairman of the Audit Committee and serves on the Compensation and Executive Committees. Mr. Majors has served on the Board of Directors of Pacific Trust Bank and its predecessor since 1985.
He is currently retired. Prior to his retirement, he was employed by Rohr, Inc. for 26 years, with his last title being Vice President and Controller. Prior to joining Rohr, Inc., Mr. Majors worked for Deloitte for five years.

Previously, he was a founding Partner and Portfolio Manager for GPS Partners LLC, a $2 billion private investment fund specializing in high yield equity securities. From 2004-2005 he worked at Lehman Brothers overseeing portfolios of debt, equity and alternative investments; and Mr. Sugarman founded and served as Chief Executive Officer of Sugarman Enterprises Inc., a financial advisory firm specializing in real estate and asset-based loans and of Law Offices of Steven Sugarman Inc. He began his career as a management consultant at McKinsey & Company.

Jonah Schnel Director
Jonah Schnel founded and has managed several privately-held specialty finance businesses, and currently is the Chairman of Fast A/R Funding (www.fastarfunding.com), a private company focused on lending to small businesses throughout the United States.
Earlier in his career, he worked at SunAmerica Investments, Inc. as a manager in the real estate investment division with a primary focus of first lien lending on a diverse range of commercial real estate assets.
Mr. Schnel received his Bachelor’s Degree, summa cum laude, from Tulane University and completed the Director training and certification program at the UCLA Anderson School of Management. He serves as the President and Chair of the Southern California Chapter of the Tourette Syndrome Association. Mr. Schnel currently lives in Los Angeles, California with his wife and three children.

Richard A. Herrin EVP, Chief Administrative Officer and Corporate Secretary
On August 22, 2011 the Company’s board of directors appointed Richard A. Herrin as Executive Vice President of Strategic Initiatives of First PacTrust Bancorp. Additionally, on September 26, 2011 Mr. Herrin was duly appointed to serve as Corporate Secretary. Mr. Herrin became an Executive Vice President and Chief Administrative Officer of PacTrust Bank on December 6, 2010.
Prior to joining PacTrust Bank, Mr. Herrin served at the FDIC since 2009, first as a member of Strategic Operations for the Division of Resolutions and Receiverships, which has overall responsibility for managing problem banks on behalf of the FDIC. As part of this group, Mr. Herrin acted as the Receiver-in-Charge for some of the largest failed banks in the western region of the United States. Beforehand he held the position of Manager of the Asset Management Division within the FDIC where he served as a voting member of the Credit Review Committee for all receiverships in the western region of the United States. Mr. Herrin has held senior positions at Vineyard Bank, Excel National Bank, Imperial Capital Bank and Bank of America.

Robert M. Franko is the President of First PacTrust Bancorp, Inc, President and Chief Executive Officer of PacTrust Bank and President, Chief Executive Officer and a Director of Beach Business Bank. With Beach Business Bank since its inception, he serves on the following committees of the Board of Directors of the Bank: Directors Loan Committee, Management Loan Committee, Management ALCO Committee, Executive Management Committee, Compliance Committee, CRA Committee, and Technology Committee.

Craig S. Naselow became Executive Vice President, Treasurer and Chief Investment Officer of First PacTrust and PacTrust Bank in November 2012. Prior to joining First PacTrust and PacTrust Bank, Mr. Naselow served as Senior Vice President, Treasurer and Investment Executive at Aris Development Company, a private bank development company, since 2009. Before that, he served as Treasury/Liquidity Consultant to Union Bank N.A., a $70-billion commercial bank (2008-2009); Managing Director and Treasurer at Countrywide Bank, a $120-billion commercial bank, (2001-2008); Senior Vice President of California Commerce Bank, a $2.1-billion commercial bank subsidiary of Citigroup (1998-2001) and President of California Commerce Banc Securities, Inc., an affiliate of California Commerce Bank (2000-2001); and Vice President, Corporate Finance and Portfolio Management at Great Western Bank, a $45-billion savings bank (1994-1997).

Ronald J. Nicolas Jr. became Executive Vice President and Chief Financial Officer of First PacTrust in November 2012. Before joining First PacTrust, Mr. Nicolas served as Executive Vice President and Chief Financial Officer at each of: Carrington Holding Company, LLC (2009-2012); Residential Credit Holdings, LLC (2008-2009); Fremont Investment and Loan, a $14-billion financial institution (2005-2008); and Aames Investment/Financial Corp. (2001-2005). He earlier served in various capacities with KeyCorp, a $20-billion financial institution, including Executive Vice President Group Finance of KeyCorp (1998-2001), Executive Vice President, Treasurer and Chief Financial Officer of KeyBank USA (1994-1998), and Vice President Corporate Treasury (1993-1994). Before joining KeyCorp, Mr. Nicolas spent 8 years at HSBC-Marine Midland Banks in a variety of financial and accounting roles.

Lonny Robinson joined PacTrust Bank as Executive Vice President in November 2012. Immediately before joining PacTrust Bank, Mr. Robinson was Executive Vice President and Chief Financial Officer of Hamni Financial Corp., a $2.8-billion publicly-traded bank holding company, and its subsidiary Hamni Bank. Prior to joining Hamni in October 2011, Mr. Robinson served as Executive Vice President and Chief Financial Officer at each of: Opportunity Bancshares and Opportunity Bank (2010-2011); Western Community Bancshares and Frontier Bank (2010); and Center Financial Corp., a $2.5-billion publicly-traded bank holding company (2007-2010).

John C. Grosvenor General Counsel
John Grosvenor is the General Counsel of First PacTrust Bancorp. Before joining First PacTrust, Mr. Grosvenor was a corporate securities and financial services partner at Manatt, Phelps and Phillips for 12 years, specializing in capital markets transactions, including public and private offerings of equity and debt securities, representing underwriters and issuers, including commercial banks, specialty finance companies, thrift institutions and equity and mortgage REITS. His background includes extensive experience in ‘34 Act matters, including periodic reporting, annual meeting and proxy solicitation, national exchange listing matters, Section 16 matters, SOX and corporate control contests. In addition, Mr. Grosvenor has substantial experience in M&A transactions, particularly in the financial services industry, and advised frequently on regulatory aspects of transactions involving depository institutions. Mr. Grosvenor also represented numerous Boards of Directors as corporate governance counsel and advised frequently on corporate crises. Mr. Grosvenor has authored numerous articles concerning matters of interest to financial services companies and spoken frequently before industry groups, including the California Bankers Association and the Western Independent Bankers.

James H. Gray Director
James H. Gray serves on the following committees of the Board of Directors of the Bank: Directors Loan Committee, Audit Committee, Nominating Committee and Compensation Committee. Mr. Gray is chairman of the Nominating and Compensation Committee. An independent businessman, Mr. Gray has previously served as founder, senior executive and director of several financial institutions in Southern California including First National Bank of San Diego (2001-2002, Chairman of Trust Activities), Generations Trust Bank, N.A., Long Beach, California (1999-2000, Chairman and Chief Executive Officer and director), City National Bank, Beverly Hills, California (1998, Senior Consultant) and Harbor Bancorp and Harbor Bank, Long Beach, California, (1976-1998, Chairman of the Board, Chief Executive Officer and director). Mr. Gray also served as the President of the California Bankers Association (1985-1986) and the Treasurer of the American Bankers Association (1993-1995).
Mr. Gray graduated from California State University, Long Beach in 1958 with a B.S. in marketing and received an honorary Doctor of Laws degree from the University in May 2000. He served as a Trustee for the California State University System from 1990-1999 and was honored by the Long Beach Chamber of Commerce as “Entrepreneur of the Year” for 2002 and by the California Bankers Association as “Distinguished Banker of the Year” for 2006.
Fred D. Jensen Director
Fred D. Jensen serves on the following committees of the Board of Directors of the Bank: Directors Loan Committee and Audit Committee. Mr. Jensen is chairman of the Audit Committee. He is a director, since 1978, of Advantage Certified Development Company in Long Beach, California. Mr. Jensen is currently retired, but prior to joining the board of directors, Mr. Jensen had a career in banking which spanned over forty years.
During his career, he was the President of five banks: American City Bank (1977-1979); National Bank of Long Beach (1979-1992): Queen City Bank (1994-1995), which was acquired by First Bank of St. Louis in 1995; 1st Bank & Trust (1995-2001); and, most recently, Security Pacific Bank – LA (2001-2007). Beginning in 1989, Mr. Jensen served as a Director of the Federal Reserve Bank, San Francisco, for two terms (1989-1994).
Mr. Jensen has served his community as a member of the board of Long Beach Memorial Medical Foundation since 1984, where he also participates on the Finance Committee; the board of the Aquarium of the Pacific; and the board of the Boys and Girls Clubs of Long Beach. He is a graduate of the University of Washington, Pacific Coast School of Banking.

Daniel R. Mathis Director
Daniel R. Mathis serves on the following committees of the Board of Directors of the Bank: Directors Loan Committee, Audit Committee and Compensation Committee. Mr. Mathis is chairman of the Directors Loan Committee. He is a director of Square 1 Financial, Inc. and Square 1 Bank which are headquartered in North Carolina. Mr. Mathis is currently retired, but prior to joining the board of directors, he was the President of two banks that were acquired by merger: First National Bank of San Diego (2001-2002), which was acquired by First Community Bancorp in 2002, and Imperial Bank (1993-2001), the $7.6 billion California-chartered commercial bank headquartered in Inglewood, California, owned by Imperial Bancorp and acquired in 2001 by Comerica Bank.
Mr. Mathis has thirty years of commercial bank experience including management of regional and national loan portfolios while holding positions at Union Bank of California, California First Bank and United California Bank.

Chang Ming Liu EVP and Chief Lending Officer
Chang Ming Liu joined Pacific Trust Bank as its Executive Vice President and Chief Lending Officer effective January 3, 2011.
Mr. Liu has more than 20 years of commercial banking experience. Most recently, Mr. Liu served at U.S. Bank as Senior Vice President where he managed the Los Angeles, Newport Beach and San Diego offices of its Special Assets Group. Previously, he was a Senior Vice President, Senior Loan Officer and Manager of California National Bank’s Los Angeles commercial real estate lending activity. While at California National Bank, Mr. Liu personally closed an average of 30 loan transactions per annum with average production of more than $150 million per year during the eight year period in which the Bank was originating commercial real estate transactions.
Prior to joining Cal National in 1999, Mr. Liu held commercial real estate commercial lending and corporate finance positions at The Fuji Bank, Ltd., and Sumitomo Bank of California.
Mr. Liu holds an undergraduate degree in Economics from UCLA.
Richard A. Herrin EVP and Corporate Secretary
On August 22, 2011 the Company’s board of directors appointed Richard A. Herrin as Executive Vice President of Strategic Initiatives of First PacTrust Bancorp. Additionally, on September 26, 2011 Mr. Herrin was duly appointed to serve as Corporate Secretary. Mr. Herrin became an Executive Vice President and Chief Administrative Officer of PacTrust Bank on December 6, 2010.
Prior to joining PacTrust Bank, Mr. Herrin served at the FDIC since 2009, first as a member of Strategic Operations for the Division of Resolutions and Receiverships, which has overall responsibility for managing problem banks on behalf of the FDIC. As part of this group, Mr. Herrin acted as the Receiver-in-Charge for some of the largest failed banks in the western region of the United States. Beforehand he held the position of Manager of the Asset Management Division within the FDIC where he served as a voting member of the Credit Review Committee for all receiverships in the western region of the United States. Mr. Herrin has held senior positions at Vineyard Bank, Excel National Bank, Imperial Capital Bank and Bank of America.

Gaylin Anderson joined Pacific Trust Bank as its Executive Vice President and Chief Retail Banking Officer effective January 3, 2011.
Prior to joining Pacific Trust Bank, he served as SVP, Consumer Branch Performance for U.S. Bank in Los Angeles, and as Director of Retail Banking for California National Bank, a $7.7 billion asset 68-branch community banking franchise serving Los Angeles, Orange, Ventura and San Bernardino counties. While at Cal National, Mr. Anderson was instrumental in transforming that bank’s retail banking franchise while achieving strong growth in core deposits and exceptional customer satisfaction ratings.
He has held senior management positions for CitiBank, N.A., and California Federal Bank where he helped transform Cal Fed into one of the most well-regarded sales and service providers in the industry.

Ray Vadalma's experience has been in community banking and commercial lending for over 4 decades. The majority of Mr. Vadalma's career encompasses three primary employers: TIB - The Independent Bankers Bank (2003 -2009); Imperial Bank (1982 -2001); and Farmers and Merchants Bank of Long Beach (1969 - 1978).
Mr. Vadalma joined Beach Business Bank May 2012 as Executive Vice President and Chief Credit Officer.
During his tenure at TIB, Mr. Vadalma commenced and had credit oversight of the Bank's lending activities on the West Coast. TIB is the nation's largest Bankers Bank with assets in excess of $2 billion.
At Imperial Bank, Mr. Vadalma held progressive roles in Credit Administration; oversaw both Workout Department and Credit Training Departments; and Senior Managing Director of the Syndicated Finance Department. Imperial had approximately $7 billion in assets when it was sold to Comerica in 2001.

He is a director, since 1978, of Advantage Certified Development Company in Long Beach, California. Mr. Jensen is currently retired, but prior to joining the board of directors, Mr. Jensen had a career in banking which spanned over forty years.
During his career, he was the President of five banks: American City Bank (1977-1979); National Bank of Long Beach (1979-1992): Queen City Bank (1994-1995), which was acquired by First Bank of St. Louis in 1995; 1st Bank & Trust (1995-2001); and, most recently, Security Pacific Bank – LA (2001-2007). Beginning in 1989, Mr. Jensen served as a Director of the Federal Reserve Bank, San Francisco, for two terms (1989-1994).
Mr. Jensen has served his community as a member of the board of Long Beach Memorial Medical Foundation since 1984, where he also participates on the Finance Committee; the board of the Aquarium of the Pacific; and the board of the Boys and Girls Clubs of Long Beach. Daniel R. Mathis Director

Mr. Mathis is chairman of the Directors Loan Committee. He is a director of Square 1 Financial, Inc. and Square 1 Bank which are headquartered in North Carolina. Mr. Mathis is currently retired, but prior to joining the board of directors, he was the President of two banks that were acquired by merger: First National Bank of San Diego (2001-2002), which was acquired by First Community Bancorp in 2002, and Imperial Bank (1993-2001), the $7.6 billion California-chartered commercial bank headquartered in Inglewood, California, owned by Imperial Bancorp and acquired in 2001 by Comerica Bank.

Michael L. Quick DDS and Director
Dr. Michael L. Quick currently does not serve on any committees of the Board of Directors of the Bank. A practicing orthodontist, Dr. Quick received his DDS degree from the University of Tennessee. He then completed the Masters program in Orthodontics. He owns an Orthodontics practice in Little Rock, Arkansas.
In addition to his practice, Dr. Quick is also a real estate investor, and he counsels other healthcare professionals on how to accumulate wealth and successfully conduct their business affairs
Robb Evans Director
Robb Evans has been Chief Executive Officer of three California banks, three Federal Reserve chartered international banks and a Hong Kong Merchant Bank. He has held banking positions ranging from teller trainee to Chairman of the Board. Today, Evans and his organization, Robb Evans & Associates LLC, serve as fiduciaries or advisors in a number of complex corporate and financial matters. In most engagements, he serves as an officer of a State or Federal Court, usually on the nomination of the Securities and Exchange Commission, The Federal Trade Commission, the Department of Justice or the Commodities Futures Trading Commission. He has served as a California Special Deputy Superintendent of Banks and, on two occasions, as a Special Deputy Commissioner of Financial Institutions. He has testified before committees of both Houses of Congress on international fraud and money laundering issues.
He and his colleagues are best known for managing the wind up of the infamous Bank of Credit and Commerce International (BCCI) in various jurisdictions in the United States. BCCI was, at the time, the largest financial fraud and asset forfeiture in history. Mr. Evans served as Trustee for the United States in that matter.
Mr. Evans is Past President of California Bankers Association. He is a founding director of Beach Business Bank in Manhattan Beach, California and is a director of First PacTrust Bancorp, Inc., a multibank holding company. He was named California’s 2012 “Distinguished Banker of the Year”.
