Mr. Beaver is the independent Chairman of the boards of National Penn Bancshares, Inc. and National Penn Bank. He has been a director of National Penn Bancshares, Inc. since 2005. In February 2008, Mr. Beaver was appointed Lead Independent Director. A Certified Public Accountant (CPA), Mr. Beaver was a Partner of Reinsel Kuntz Lesher LLP, one of the largest regional accounting, tax and consulting firms in southeastern Pennsylvania, with offices in Wyomissing, Lancaster, York and Harrisburg. Mr. Beaver was a founder of Reinsel & Company LLP in 1979, which merged with Kuntz Lesher LLP in 2005, and had served as its managing partner and CEO from 1994 to 2004. He currently serves as a consultant to Reinsel Kuntz Lesher LLP in the Business Consulting Group.
Mr. Beaver’s educational background includes a Bachelor of Science degree in Civil Engineering and a Master of Business Administration from Lehigh University.

Scott V. Fainor
President and Chief Executive Officer, National Penn Bancshares, Inc.
Mr. Fainor is President and CEO of National Penn Bancshares, Inc. (“National Penn”) and National Penn Bank. He has been a director of National Penn Bancshares, Inc. since January 2010. Mr. Fainor serves on the Executive Committee. He is also on the board of National Penn Bank.
Mr. Fainor has three decades of experience in banking. He was President and CEO of KNBT Bancorp, Inc. until KNBT’s merger with National Penn in February 2008. Upon joining National Penn, he served as Senior Executive Vice President and Chief Operating Officer of National Penn and President and CEO of National Penn Bank.
Prior to KNBT, Mr. Fainor was President and CEO of First Colonial Group, Inc./Nazareth National Bank & Trust Co. and held executive positions with Wachovia/First Union. While at Wachovia/First Union, he served in various capacities related to corporate banking, retail banking, and bank operations, as well as Regional President for the Lehigh Valley/ Northeast Pennsylvania, and Executive Vice President overseeing business banking for a five state territory.
Mr. Fainor’s educational background includes a Bachelor of Science degree from DeSales University, Allentown. He serves on the boards of Lehigh Valley Industrial Parks and Lehigh Valley Partnership, and is actively involved in the Pennsylvania Bankers Association. Mr. Fainor is a trustee of the Keystone Nazareth Charitable Foundation since its inception in 2003.
Jeffrey P. Feather Vice Chairman
Managing Partner, Feather Ventures, LLC
Mr. Feather has been a director and Vice Chairman of National Penn Bancshares, Inc. since its merger with KNBT Bancorp, Inc. in February 2008. He was a director of KNBT’s predecessor, Keystone Savings Bank, since 1979 and served as Chairman since 2000. Mr. Feather led the successful mutual to stock conversion and simultaneous acquisition of Nazareth National Bank in 2003. Mr. Feather is the Chairman of the Nominating/Corporate Governance Committee and serves on the Compensation and Executive Committees. He is also on the board of National Penn Bank. Mr. Feather is the Managing Partner of Feather Ventures, LLC, a private investment firm since 1999. He was the founder and President of Pentamation Enterprises Inc. since its inception in 1970, and the Chairman of SunGard Pentamation from January 2004 to December 2006. SunGard Pentamation specializes in the development and sale nationally of application software for the K-12 education and local government vertical markets. The parent company, SunGard Data Systems, is a five billion dollar technology company headquartered in Wayne, PA.
Mr. Feather’s educational background includes a Bachelor of Science degree in Industrial Engineering from Lafayette College and graduate work in Management Science at Lehigh University.
Mr. Feather serves on the board of trustees of Lafayette College, Lehigh Valley Hospital, Lehigh Valley Industrial Park - Chairman; and Lehigh Valley Partnership. Donna D. Holton
Retired President and Chief Operating Officer, Turn of the Century Solution, Inc.
Ms. Holton has been a director of National Penn Bancshares, Inc. since its merger with KNBT Bancorp, Inc. in February 2008. She was a director of KNBT and its predecessor, Keystone Savings Bank, since 2002. Ms. Holton is the Chairman of the Compensation Committee and serves on the Directors’ Enterprise Risk Management Committee. She is also on the board of National Penn Bank.
Ms. Holton was President and Chief Operating Officer of Turn of the Century Solution, Inc., a privately held intellectual property company, from 1997 to 2006. Previously she was Executive Vice President of Penn Mutual Life Insurance Company, with responsibility for technology, human resources, customer service, and marketing.
Ms. Holton’s educational background includes a Bachelor of Arts degree in Economics from the University of Michigan.
She served ten years on the board of St. Luke’s Hospital, Bethlehem, heading the Development and Audit Committees. Additionally, she was a trustee of the Hospital and Healthsystem Association of Pennsylvania (HAP) for six years. Ms. Holton is an active Rotarian.

Mr. Kennedy is an attorney-at-law and concentrates his practice on business and estate planning and related litigation. He is President of Kennedy & Lucadamo, P.C., which he founded in 1991. A former chief prosecutor of the Pennsylvania Bureau of Consumer Protection, he became General Counsel to First Federal Savings and Loan Association of Hazleton (a mutual thrift) in 1977. In 1988, he was named Chairman of the Board and subsequently took the company public in 1998. Mr. Kennedy served as Chairman and General Counsel of Northeast Pennsylvania Financial Corp. until its merger with KNBT in 2004, and was named as a director of KNBT at that time.
Mr. Kennedy’s educational background includes a Bachelor of Arts degree in English from the University of Scranton and a Juris Doctorate from the Boston College Law School.
Mr. Kennedy is a member of various Bar Associations and is past President of the Lower Luzerne County Bar Association. Additionally, he is a trustee of the Luzerne Foundation. He also serves as Chairman of the Greater Hazleton Health Alliance and the First Federal Charitable Foundation.
Patricia L. Langiotti, PMC

Ms. Langiotti has been a director of National Penn Bancshares, Inc. since 1986. A registered Professional Management Consultant (PMC), Ms. Langiotti has owned and operated her own consulting business, Creative Management Concepts, since 1982.
Ms. Langiotti is a nationally recognized expert in the areas of corporate governance, risk management and bank audit committee work. She is a frequent keynote speaker and educator on those topics, having presented most recently with Corporate Board Member, Inc., Bank Director Magazine and the American Institute of Certified Public Accountants. She is the co-author of Bank Director’s Bank Audit Committee Primer.
Ms. Langiotti’s educational background includes a Business Management and Accounting degree from the University of Virginia. She has served as an adjunct instructor at several colleges and universities.
Ms. Langiotti is the former Chairman of the Pennsylvania Chamber of Business and Industry and served two terms as a director of the Chamber of Commerce of the USA. He was a director of KNBT and its predecessor, Keystone Savings Bank, since 2003 and previously served as a director of Nazareth National Bank. Mr. Martin serves on the Compensation Committee. Michael E. Martin

Mr. Martin is Head of the Financial Institutions Group of Warburg Pincus LLC. He joined Warburg Pincus in 2009 as co-head of its Financial Institutions Group. Prior to joining Warburg Pincus, he was President of Brooklyn NY Holdings, LLC, a private investment company. Previously, Mr. Martin was Vice Chairman and Managing Director of UBS Investment Bank where he also served as a member of the UBS Investment Bank Board and its Global Executive Committee. Mr. Martin has also held senior positions at Credit Suisse First Boston and practiced corporate law at Wachtell, Lipton, Rosen & Katz. He was a clerk to the Honorable Stephen Reinhardt, of the United States Court of Appeals for the Ninth Circuit.

Natalye Paquin, Esq.

Ms. Paquin is Chief Executive Officer of the Girl Scouts of Eastern Pennsylvania (GSEP). GSEP is a volunteer based non-profit organization with over 15,000 adult volunteers and serves 41,000 girls ages 5-17 in Berks, Bucks, Carbon, Chester, Delaware, Lehigh, Montgomery, Northampton, and Philadelphia counties. Previously, Ms. Paquin served as the Executive Vice President and Chief Operating Officer of the Kimmel Center, Inc., Philadelphia's premier performing arts center, where she was responsible for overseeing the day-to-day operations of the Kimmel Center, the Merriam Theatre and the historic Academy of Music.
Ms. Paquin spent nearly 20 years in senior management and legal positions in Philadelphia and Chicago. She has significant experience in operations, strategic planning, budget management, policy and process development and implementation, and managing labor and personnel issues in large and complex organizations.
Ms. Paquin received a Bachelor of Science degree from Florida A&M University and a Juris Doctor degree from DePaul University, College of Law. She also completed executive education programs from Harvard's School of Business and is a graduate of the Broad Academy for Urban Superintendents.
Ms. Paquin serves on the National Advisory Board of the Salvation Army and is an active civic leader through her service on many boards and advisory boards including the Mid-Atlantic Arts Foundation, the Philadelphia Award Foundation, the Philadelphia Cultural Alliance and the Philadelphia Academies. R. Chadwick Paul Jr.

Mr. Paul has over 35 years of entrepreneurial business experience and has started, secured investments for, or facilitated the merger of dozens of companies.
Mr. Paul is President and Chief Executive Officer of the Ben Franklin Technology Partners of Northeastern Pennsylvania, an organization that has received national and international recognition as a model technology economic development program. The Ben Franklin Technology Partners of Northeastern Pennsylvania has helped technology companies in its 21-county region prosper by providing them with access to capital, business expertise, and university resources.
Mr. Paul’s educational background includes a Master of Business Administration, with an emphasis in Management Information Systems, from Lehigh University. Additionally, he holds a Bachelor of Science degree in Business and Economics, with a minor in International Relations, also from Lehigh University.
Mr. Paul chairs the Achievement Foundation, which awards college scholarships to students who participate in U.S. Junior Achievement Programs. He has been a member of an angel investing network and has served on the boards of numerous private technology companies and community organizations.
C. Robert Roth

Mr. Roth has been a director of National Penn Bancshares, Inc. since 1990. He was a director of Sellersville Savings & Loan for six years prior to its merger with National Penn in 1990. Mr. Roth serves on the Compensation and Directors’ Enterprise Risk Management Committees. He is also on the board of National Penn Bank.
Mr. Roth is a state-certified Magisterial District Judge in Pennsylvania and has served in that capacity since 1992. Prior to his time on the bench, he owned and operated a retail furniture store for 19 years.
Mr. Roth’s educational background includes attendance at various workshops, seminars and webinars with an emphasis on audit and risk management issues.
Mr. Roth is a member and past President of the Quakertown Rotary Club. He currently serves as Director of the Special Court Judges Association of Pennsylvania.

Mr. Weidner’s entire career was spent with National Penn Bank where he began in 1962 and progressed through the ranks of the bank and the holding company. He was also President of National Penn Bancshares from 1998 to 2001; President and CEO in 2001; Chairman, President and CEO from 2002 to 2004; Chairman and CEO from 2004 to 2006; and Chairman in 2007.

Michael J. Hughes, CPA Senior Executive Vice President, Chief Financal Officer
Michael J. Hughes is Senior Executive Vice President, Chief Financial Officer of National Penn Bancshares, Inc. (“National Penn”). In this role, he is responsible for formulating and implementing the company’s financial strategies and policies as part of its balanced growth plan. Mr. Hughes is a member of National Penn’s Office of the President and the Company’s Senior Leadership Group.
Prior to joining National Penn, Mr. Hughes held the positions of Chief Executive Officer of BSCV, Inc. and Chief Restructuring Officer at Boscov’s Department Store, LLC. Upon joining Boscov’s in May 2008 as Chief Restructuring Officer, Mr. Hughes was responsible for managing all aspects of Boscov’s restructuring process and BSCV’s Chapter 11 bankruptcy case.
Mr. Hughes also served as Chief Operating Officer of Griffin Financial LLC, an investment banking firm, beginning in August 2002. A certified public accountant with 30 years of experience in the financial services industry, Mr. Hughes began his career at Ernst & Young as an Audit Supervisor. He moved on to serve as Chief Financial Officer of The Hershey Bank, Woodstream Corporation and Specialty Products & Insulation Co.
Mr. Hughes has also held executive positions at several banks and other financial services firms, including Senior Vice President for External Finance at Meridian Bancorp, Inc. and Senior Vice President for Investment Banking at Berwind Financial. He holds a Bachelor’s Degree in Accounting from Penn State University from which he graduated magna cum laude.
Sandra L. Bodnyk Senior Executive Vice President, Chief Risk Officer
Sandra L. Bodnyk is Senior Executive Vice President, Chief Risk Officer of National Penn Bancshares, Inc. (“National Penn”). Ms. Bodnyk has more than 35 years of experience in banking. She is a member of National Penn’s Office of the President and the Company’s Senior Leadership Group.
Prior to joining National Penn in February 2008, Ms. Bodnyk was Chief Credit Officer and Chief Risk Officer at KNBT Bancorp, Inc. During her tenure, the bank experienced rapid growth in both its product and customer base as it transitioned from a predominantly retail profile to a more balanced retail and commercial bank. At KNBT, Ms. Bodnyk was responsible for all credit, compliance, audit and risk management functions. Prior to that, she worked in various lending, credit and risk management positions at Wachovia Bank for nearly 30 years.
In her current role as Chief Risk Officer, Ms. Bodnyk is responsible for continuing to strengthen National Penn’s risk management program and procedures. Her direct responsibilities also include commercial and consumer credit, fraud and loss prevention, security, loan review, audit and regulatory compliance.
Ms. Bodnyk’s educational background includes a Bachelor of Arts degree in Economics from Muhlenberg College. She also graduated from the Stonier Graduate School of Banking. Ms. Bodnyk is active in her community and currently serves on the Executive Committee of the Muhlenberg College Board of Associates. She is also a board member and treasurer of the Good Shepherd Rehabilitation Network.
H. Anderson Ellsworth, Esq. Corporate Secretary and Chief Legal Officer
Andy Ellsworth is Group Executive Vice President of National Penn Bancshares, Inc. (“National Penn”). Mr. Ellsworth has 30 years of legal/financial services experience and currently serves as Corporate Secretary, Corporate Governance Officer and Chief Legal Officer for National Penn. He is a member of National Penn’s Office of the President and the Company’s Senior Leadership Group.
Ellsworth, served as Executive Vice President, Director of Securities Law Compliance, at National Penn, from 2004 through 2010. His responsibilities were to assure that National Penn fully discharged these responsibilities and to provide legal advice regarding corporate governance, executive compensation and mergers and acquisition activity.
Before joining National Penn in 2004, he worked in the law firm of Ellsworth, Carlton, Mixell & Waldman. Previously he worked at the law firms of Stevens and Lee, P. C., Reading, PA, and Montgomery, McCracken, Walker & Rhoads, Philadelphia, PA.
Andy is a graduate of Penn State University with a Bachelor of Arts degree in Political Science and also a graduate of the University of Chicago Law School.
